They represent the first step of Ortronic® business organization and they are entrepeneurs that have bought a license to Ortronic®, in anyone of the two possibilities indicated in the following paragraph.
In both cases, the License Holders sell in exclusive, at concrete zones which are named 'Territory', the Ortronic® products that have been agreed in the correspondent contract. A territory can be a part of a country, or can include one or several countries.
Licenses are for a fixed period of time and comprise a range of concrete products. Both terms are fixed by mutual agreement between the parts.
The manufacturing license, allows the License Holder to manufacture the Ortronic® products previously specified in the contract, for their own exclusive territory. The license holder couldn't sell its own Ortronic® manufactured products outside its territory without a written agreement with Ortronic®.
The manufacturing license never includes the manufacturing of the Ortronic® microprocessors, which will be supplied by Ortronic®, in the agreed conditions.
The licensee (commercial or manufacturing one) is not forced to minimal purchases although the license holder has to inform periodically about the evolution and characteristics of the market at his exclusive territory.
