As well as the License Holders, the Distributors sell the Ortronic® products, which have been previously agreed, in a specified 'Territory', with or without exclusivity.
Exclusive distribution always implies minimal yearly purchases, controllable each three months. The exclusive distribution depends on that minimal purchases, if the minimal quantity is not reached as expected by the contract, the exclusive distribution agreement will automatically expire without need to denounce the contract.
The distributor without exclusivity, does not sign any contract for distribution, neither commitment of minimal purchases. In this case, any of the parts can finish the business relations that could exist unilaterally, and the other part has not the right to any kind of reclamation.
The completion of commercial relations will not exempt to the parts of the fulfilment of its obligations of payment if there are, neither of the fulfilment in front of third parties of the obligations that could exist as a consequence of the application of local regulations in the ‘Territory’.
